The merger of Argentina-based fresh produce companies Univeg Expofrut, Expomarket and Univeg Fruit Argentina has reportedly been declared null and void, according to local news agency Agencia Digital de Noticias (ADN).
The consolidation of the companies apparently underwent all the usual merger processes but came unstuck due to the misunderstanding of various local government officials in Río Negro, the report explained.
During the process, Interior Minister Edgardo Bagli only verbally appointed lawyer Virginia Francioni as the legal head of the organisation on 7 December 2011, ADN said.
But, according to ADN, Francioni was not officially named in legal documents although her signature appears in various papers.
On 27 December, however, Bagli allegedly reversed the appointment of Francioni “without explanation”, presenting on 9 January 2012 Félix San Martin as the new legal head after asking Francioni to leave her position.
Given that Francioni is not officially named in the documents, the report said her actions as the legal head of the group have therefore been declared null and void.
Apparently Francioni had already signed 20-30 resolutions, including the final agreement to split and merge Univeg Fruit Argentina, among other deals “involving the transfers of hundreds of Argentinean pesos”, ADN reported.
